Terms & Conditions for GCAR Site Users

1. Introduction

   These Terms and Conditions (“Terms”) govern your use of the GCAR aggregator website (“gcar.ae” or the “Site”) and its services. By accessing and using the Site, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use the Site.

2. User Eligibility

2.1 Age Requirement

To use the GCAR Site, users must be at least 18 years old. This age requirement is set to ensure that users have the legal capacity to enter into binding agreements under the applicable laws. By accessing and using the Site, users affirm that they meet this age requirement.

2.2 Legal Capacity

Users acknowledge and agree that GCAR will not be liable for any modifications, updates, or discontinuations of the Site or any of its features or services.

4.6 User Account Security

Users who create an account on the GCAR Site are responsible for maintaining the confidentiality of their account information, including their password. Users agree to promptly notify GCAR of any unauthorized use of their account or any other security breach related to their account. GCAR is not responsible for any losses or damages resulting from users’ failure to maintain the security of their account information.

5. Intellectual Property

5.1 Ownership and Protection

All content, materials, and intellectual property on the GCAR Site, including but not limited to text, images, logos, graphics, software, and design elements, are the exclusive property of GCAR or its licensors. These assets are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. Users also grant GCAR and its sublicensees the right to use the name submitted in connection with such content, if they choose.

GCAR respects the intellectual property rights of others and expects its users to do the same. If you believe that your copyrighted work has been copied, reproduced, or distributed in a way that constitutes copyright infringement, please contact GCAR with the following information:

• A description of the copyrighted work that you claim has been infringed;
• A description of where the allegedly infringing material is located on the GCAR Site;

• A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;

  The GCAR name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of GCAR or its affiliates or licensors. Users may not use such marks without the prior written permission of GCAR. All other names, logos, product and service names, designs, and slogans on the GCAR Site are the trademarks of their respective owners and may not be used without the prior written consent of the respective owner.

6. User-Generated Content

By submitting any content or materials to the Site, you grant GCAR a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content throughout the world in any media. You represent and warrant that you own or otherwise control all of the rights to the content you submit and that the use of your content by GCAR will not infringe upon or violate the rights of any third party.

7.1 Third-Party Websites

The GCAR Site may contain links to third-party websites or resources, which are provided for convenience and informational purposes only. GCAR has no control over the content, policies, or practices of these third-party websites or resources and does not assume any responsibility or liability for their availability, accuracy, or reliability. 7.2 Third-Party Services

GCAR is not responsible for the content, claims, representations, or accuracy of these advertisements or promotional materials, and does not endorse or assume any liability for the products, services, or offerings of the advertisers. 7.4 User Interactions with Third Parties

7.5 Indemnification

Users agree to indemnify, defend, and hold harmless GCAR, its affiliates, licensors, and service providers, and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or related to their use of, or reliance on, any third-party websites, resources, or services accessed through the GCAR Site or any interactions or transactions with third parties.

8. Limitation of Liability

8.1 No Warranty

GCAR provides the Site and its content on an “as is” and “as available” basis, without any warranty or representation of any kind, either express or implied. To the fullest extent permitted by law, GCAR disclaims all warranties, including, but not limited to, warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, and freedom from viruses or other harmful components.

You agree to indemnify, defend, and hold harmless GCAR, its affiliates, licensors, and service providers, and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or related to your use of the Site or any content, products, or services provided therein, your violation of these Terms & Conditions, or your infringement of any rights of any third party.

8.5 Basis of the Bargain

You acknowledge and agree that the disclaimers of warranties and limitations of liability set forth in these Terms & Conditions are essential elements of the agreement between you and GCAR, and that GCAR would not be able to provide the Site or its content, products, or services on an economic basis without such limitations.

9. Indemnification

9.1 Scope of Indemnification

As a user of the GCAR Site, you agree to indemnify, defend, and hold harmless GCAR, its affiliates, licensors, and service providers, and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or related to:

a) Your use of the Site, including any content, products, or services provided therein;
b) Your violation of these Terms & Conditions;
c) Your infringement or violation of any intellectual property rights, privacy rights, or any other rights of any third party; or
d) Any content or materials that you submit, post, transmit, or otherwise make available through the Site.

9.2 Defense and Cooperation

In the event of any claim, action, or proceeding for which you are required to indemnify GCAR under these Terms & Conditions, GCAR reserves the right, at your expense, to assume the exclusive defense and control of such claim, action, or proceeding. You agree to cooperate fully with GCAR in asserting any available defenses, and you shall not enter into any settlement or compromise of any such claim, action, or proceeding without GCAR’s prior written consent.

9.3 Survival

The indemnification obligations set forth in these Terms & Conditions shall survive the termination or expiration of your use of the Site or any relationship between you and GCAR.

9.4 Limitations

Your indemnification obligations do not apply to any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees that arise solely from the actions, omissions, or negligence of GCAR, its affiliates, licensors, service providers, or their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, or assigns.

9.5 No Admission of Liability

By indemnifying GCAR, you do not admit any liability or wrongdoing on your part. Indemnification is meant to protect GCAR and its affiliates from potential losses and expenses arising from claims, actions, or proceedings related to your use of the Site or any content, products, or services provided therein, or any violations of these Terms & Conditions, or any infringement or violation of any third-party rights.

10. Governing Law and Jurisdiction

These Terms & Conditions, your use of the GCAR Site, and any disputes arising out of or in connection with them, shall be governed by and construed in accordance with the laws of the United Arab Emirates (UAE), without regard to its conflict of law principles.
